This section contains all standard legal documents that apply to EasyWorth Forensic services.

① Mutual Non-Disclosure Agreement

1. Purpose
The Parties are exploring a potential business relationship in connection with cryptographic forensic services and supply chain auditing (the "Purpose"). In connection with the Purpose, each Party may disclose certain Confidential Information to the other Party.

2. Confidential Information
"Confidential Information" means any information disclosed by either Party to the other, either directly or indirectly, in writing, orally or by inspection of tangible objects, that is designated as "Confidential" or that reasonably should be understood to be confidential given the nature of the information.

3. Non-Use and Non-Disclosure
Each Party agrees not to use any Confidential Information of the other Party for any purpose except to evaluate and engage in discussions concerning the Purpose.

② Engagement Term Sheet

1. Services Provided
EasyWorth Inc. provides automated cryptographic hashing and forensic ledger sealing services for trade compliance records.

2. Payment Terms
Service fees are calculated based on the volume of records sealed per month. Invoices are due Net 30 days.

3. Cryptographic Guarantee
EasyWorth guarantees the mathematical integrity of the SHA-256 hashes generated but does not warrant the underlying truthfulness of the data supplied by the client.

③ Master Services Agreement

1. Limitation of Liability
EasyWorth’s total liability arising out of or related to this agreement or any EasyWorth documentation certificate or service shall not exceed the total fees paid by the client to EasyWorth in the ninety days preceding the event giving rise to the claim regardless of the form of action and whether based on contract tort negligence strict liability or otherwise.

2. No Guarantee of Outcome
EasyWorth does not guarantee any specific legal regulatory or financial outcome arising from its documentation services. EasyWorth’s forensic certificates and compliance documentation are produced from sealed data sources and represent the state of available data at the time of sealing. Evidentiary weight admissibility and legal effect of any EasyWorth documentation is determined solely by the applicable legal or regulatory proceeding. EasyWorth makes no representation that its documentation will produce a favorable outcome in any litigation CBP enforcement action insurance claim or regulatory proceeding.

3. Not a Law Firm
EasyWorth Inc. is not a law firm and does not provide legal advice. Nothing in this agreement and no EasyWorth certificate documentation package or compliance record constitutes legal advice or creates an attorney-client relationship. Clients are strongly advised to consult qualified legal counsel regarding their specific compliance obligations and litigation strategy.

4. Indemnification Running One Way
Client agrees to indemnify defend and hold harmless EasyWorth Inc. and its officers employees and agents from and against any claims damages losses costs and expenses including reasonable attorneys fees arising out of or related to client’s use of EasyWorth documentation in any legal proceeding. Client’s reliance on EasyWorth documentation as a substitute for qualified legal counsel. Client’s failure to obtain required authorizations before sharing third party data with EasyWorth. Any inaccuracy in data provided by client to EasyWorth for inclusion in any documentation or submission.

5. Mutual Waiver of Consequential Damages
In no event shall either party be liable for any indirect incidental special consequential exemplary or punitive damages including lost profits lost revenue loss of data or business interruption arising out of or related to this agreement even if advised of the possibility of such damages. This limitation applies regardless of the theory of liability.

6. Governing Law and Mandatory Arbitration
This agreement is governed by the laws of the State of North Carolina without regard to its conflict of law provisions. Any dispute arising out of or related to this agreement shall be resolved exclusively through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules with arbitration conducted in Mecklenburg County North Carolina. The parties waive any right to a jury trial. The prevailing party in any arbitration shall be entitled to recover reasonable attorneys fees and costs.

EasyWorth does not guarantee outcomes, is not a law firm, and does not provide legal advice.

1. Liability cap: EasyWorth's total liability for any claim shall not exceed fees paid in the 90 days preceding the event giving rise to the claim.

2. No outcome guarantee: EasyWorth does not guarantee any specific legal, regulatory, or financial outcome. Evidentiary weight and admissibility of any certificate is determined solely by the applicable legal or regulatory proceeding.

3. Not a law firm: EasyWorth, Inc. is not a law firm and does not provide legal advice. Nothing on this platform constitutes legal advice or creates an attorney-client relationship.

4. Indemnification: Client agrees to indemnify and hold harmless EasyWorth, Inc. from any claims arising out of client's use of EasyWorth documentation in any legal proceeding.

5. Consequential damages waived: In no event shall EasyWorth be liable for any indirect, incidental, special, consequential, or punitive damages including lost profits or business interruption.

6. Governing law and arbitration: This agreement is governed by North Carolina law. All disputes resolved exclusively through AAA arbitration in Mecklenburg County, North Carolina. Jury trial waived.
